Honey Comb Project - Utah
The 1280 hectare Honey Comb Hills property is a beryllium, Rare Earth Elements (REE) project, 180 kilometres southwest of Salt Lake City, Utah. The Honey Comb Hills property lies in the Basin and Range Province of the southwestern United States. The Property is in close proximity to Great Western Minerals Group's (GWMG) Deep Sands REE project and comprises an alkalic rhyolite flow dome complex which exhibits highly anomalous rare earth elements, lithium, beryllium, and rubidium. Mineralization occurs throughout the dome but appears to be higher in grade within a flat to gently dipping sequence of rhyolite tuffs and breccias. Initial surface sampling report assays of up to 1043 ppm total rare earth oxides (TREO), 1690 ppm lithium, greater then 1000 ppm beryllium and 1270 ppm rubidium. Detailed mapping shows an anomalous area of roughly 500 by 1000 meters with a satellite anomalous area of 500 by 500 meters. In addition, both anomalies are flanked by quaternary alluvium and could extend substantially under shallow cover.
Exploration completed by the Vendor consisted of Induced Polarization surveys, soil surveys and rock sampling of existing adits. Sampling of a decline excavated in rhyolite breccias show highly anomalous Li, Rb and weakly anomalous TREO assays from 460-1050 ppm, 471-1035 ppm, and 392-461 ppm respectively. Sampling from an adit excavated in the overlying more massive rhyolite exhibit higher Rb assays, lower Li assay and similar TREO assays - 1135-1210 ppm, 150-230 ppm and 454-493 ppm respectively.
The Vendor has expended a total of $117,397 in 2011. These expenditures qualify the Honey Comb Hill property as a Qualifying Transaction for a Capital Pool Corporation.
Qualitas Holdings Corp. and Novus Gold Corp. - GP Property
The 1906 hectare GP property is an epithermal precious metal project, 25 kilometres northeast of Lytton, British Columbia. The GP property lies in the Spences Bridge Gold Belt of south central British Columbia, a host for low sulphidation epithermal mineralization. Previous exploration by Midland Recording Services Ltd., Tanqueray Resources Ltd. and Strongbow Exploration Inc. has identified a 1700 metre long by 2100 metre wide area of scattered elevated Au-in-soil that was never followed up on the west side of the claim group. Appleton Exploration Inc. located a 1400 long Au-in-soil trend along a logging road that was followed up inconclusively by a small grid. The GP property has previous expenditures of just over $138,000.

The 2055 hectare Hume Creek property is an epithermal precious metal project, 15 kilometres northwest of Spences Bridge, British Columbia. The Hume Creek property lies in the Spences Bridge Gold Belt of south central British Columbia, a host for low sulphidation epithermal mineralization. Previous exploration by Midland Recording Services Ltd. and Strongbow Exploration Inc. identified three multiple gold-in-soil anomalies within the property boundary: Anomaly B, Anomaly C and Anomaly F. Strongbow recommended further exploration, but never followed up.

The 1934 hectare East Murray Creek property is an epithermal precious metal project, 8 kilometres northwest of Spences Bridge, British Columbia. The East Murray Creek property lies in the Spences Bridge Gold Belt of south central British Columbia, a host for low sulphidation epithermal mineralization. Previous exploration by Strongbow Exploration Inc. identified two multiple gold-in-soil anomalies within the property boundary: Anomaly D and the Enigma Anomaly. Strongbow recommended further exploration, but never followed up

Qualitas Holdings Corp. - Luke Creek Property - Optioned to Croger Resources The 2289 hectare Luke Creek property is an epithermal precious metal project, 32 kilometres north of Princeton, British Columbia. The Luke Creek property lies in the Spences Bridge Gold Belt of south central British Columbia, a host for low sulphidation epithermal mineralization. Almaden Minerals Ltd. completed limited stream sediment sampling on the claims, obtaining a value of 18.2 ppb Au. This anomaly, which indicates potential gold mineralization within the claim block, was never followed up. |

Qualitas Holdings Corp. - SB Property - Optioned to MGM Resources Corp. The 3517 hectare SB property is an epithermal precious metal project, 25 kilometres west Merritt, British Columbia. The SB property lies in the Spences Bridge Gold Belt of south central British Columbia, a host for low sulphidation epithermal mineralization. Previous exploration by Midland Recording Services Ltd. and Strongbow Exploration Inc. has identified three target areas: Target 1 - an area of anomalous stream sediments, soils and rocks; Target 2 - an second area of anomalous stream sediments and Target 3 - an third area of anomalous stream sediments. The SB property has previous expenditures of just over $102,000. The SB property is a good Initial Public Offering property or a good listing property for the CNSX. |

The 2452 hectare PC property is an epithermal precious metal project, 41 kilometres west Merritt, British Columbia. The PC property lies in the Spences Bridge Gold Belt of south central British Columbia, a host for low sulphidation epithermal mineralization. Previous exploration by Tanqueray Resources Ltd. in the north and Appleton Exploration Inc. in the south has identified two areas of elevated grid Au-in-soil that were never followed up. The PC property has previous expenditures of just over $86,700. The GP and PC joint venture property’s each had over $110,000 spent in October, 2011 and anticipate the 43-101 reports to be completed by January 15, 2012. Both of these Qualified Transactions are available to be optioned to earn up to a 100% interest. |

The Gordon Creek property lies in the Spences Bridge Gold Belt of south central British Columbia, a host for low sulphidation epithermal mineralization. Limited historic exploration has been completed. A Regional Geochemical Survey stream sediment sample from the main creek returned a value of 16 ppb Au, indicating potential gold mineralization within the claim bock. Stream sediment sampling by Christopher James Gold Corp. in 2009 found a 21 ppb Au sample from one of the northern tributaries of the main creek, further enhancing the potential of the claim block. The Gordon Creek property has previous expenditures of just over $34,000. |

Qualitas Holdings Corp. - Otter Property - Optioned to Spearmint Resources Inc. The 5296 hectare Otter property is an epithermal precious metal project, 17 kilometres north-northwest of Princeton, British Columbia. The Otter property lies in the Spences Bridge Gold Belt of south central British Columbia, a host for low sulphidation epithermal mineralization. Previous exploration by Tanqueray Resources Ltd. in 2006 and Fox Resources Ltd. in 2008 and 2009 located two target areas, Grid B and Grid E. Grid B host three northwest-southeast trending multi-element linear soil anomalies 750 to 900 metres in length and 50 to 250 metres in width. Grid E hosts a 1600 metre long by 100 to 200 metre wide linear multi-element soil anomaly along a regional lineament. The Otter property has expenditures of just under $300,000 to date with $161,000 spent in the 2008-2009 period. These expenditures qualify the Otter property as a Qualifying Transaction for a Capital Pool Corporation. |
